Booking Terms and Conditions

These Terms apply for open programmes and courses of The Leadership Vaccine, Manager's Capsule and Leading without Lines. For In House programmes Ts and Cs will be provided prior to booking.

2. Definitions and Interpretation 

In these Terms and Conditions, unless the context otherwise requires, the following expressions have the following meanings:


“Business day”

a day (not being a Saturday or Sunday) on which banks are open in England;


an individual or organisation contracting with Etheo Limited for the provision of the programme or course detailed in the registration form; 


a person who purchases goods and services for personal use, paid for by their own personal funds, also referred to as Self Funded;


the contract formed by the completion, by the Client, of the course / programme registration form, which shall be governed by these Terms and Conditions;

“In-person course or programme”

courses or programmes that include in person live workshops at designated venues as part of the Services.  Such courses or programmes may also include an online element. This category specifically includes The Leadership Vaccine – London Live, The Manager’s Capsule Live, Leading without Lines Live;


any course materials provided by Etheo Limited as part of the Services; 

“Online programmes”

programmes delivered solely online e.g. via webinars, video calls.     This category specifically includes The Leadership Vaccine – International Online Cohort, The Manager’s Capsule Online, Leading without Lines Online;


the course or programme to be provided by Etheo Limited for the Client as described in the registration form;

“Registration form”

the online form completed by the Client, incorporating these Terms, which details the course or programme and course/programme dates;

“Start date”

For in-person courses/programmes: the date of the first in person event for that course or programme. Please be advised that pre-course activities are provided for many of our courses and programmes.

For online programmes: the defined intake start date.  

3. The Services

  • Etheo Limited will provide the Services to the Client on, and subject to, these Terms and Conditions and the Registration Form. By completing and submitting the Registration Form, the Client agrees to be bound by these Terms to the exclusion of all other terms and conditions (including any terms or conditions which the Client purports to apply under any purchase order, confirmation of order, specification or other document). The Registration Form, once completed and submitted by the Client, shall, together with these Terms, form the contract between Etheo Limited and the Client.
  • Etheo Limited shall provide the Services using reasonable skill and care.
  • Etheo Limited shall use its reasonable endeavours to ensure that any description of the design or content of the learning programme or course is as informative as possible, but it is for the Client to take responsibility, at the time of submission of the Registration Form, for deciding whether or not a programme is suitable for their needs and suitable for the needs of individual delegates.

4. Application

For some courses an application process may be in place. In such scenarios, following receipt of the submitted application form a member of the Etheo Limited team will review the application to ensure that the proposed delegate’s current role fits the criteria for that programme or course, e.g. for The Leadership Vaccine, the role must be considered a Senior Leadership role, and will advise the applicant if they may proceed to registration or whether an alternative course may be better suited. Applicants may be contacted to discuss the application before they may proceed to registration.

5. Registration Form and Payment

  • The fees for each course or programme are set out in the Programme schedule for each course or programme. The date of the submission of the registration form will determine whether any early bird fee applies.
  • Value Added Tax, where applicable, will be payable by the Client on all fees at the rate in force at the date of invoicing. All prices are quoted exclusive of Value Added Tax.
  • Upon receipt of the submitted registration form, Etheo Limited will forward to the Client an invoice for the full course or programme fee.
  • Payment must be received in advance of the course. 
  • Payment terms are 14 days from the date of invoice or by 14 days prior to Start date, whichever is sooner. 
  • NB: No course materials will be available on-line until payment has been received and so delay in payment may delay access to pre-course reading and exercises.
  • Full payment must be received prior to the Start date. Delegates will not be admitted to the course unless full payment has been received by Etheo Limited.
  • Etheo Limited reserves the right to charge the Client interest and costs of recovery in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 (as amended).

6. Cancellation and Transfers

If you are acting as a Consumer:

  • If you cancel your course or programme booking within 14 calendar days of receiving your registration confirmation, without giving any reason you are entitled to a full refund of any fees paid. 
  • If you start to use our Services during the cancellation period (i.e. if the course commences during the 14-day cancellation period) or if you access the course materials via our online course spaces (i.e. via our online learning platform), and you cancel your Contract, you shall pay us an amount that is in proportion to what has been performed up until you have communicated to us your cancellation from this Contract, in comparison to full coverage of the Contract.
  • Cancellations received after the 14-day cancellation period and earlier than 28 days before the Start date of the course or programme will be charged a 10% administration fee. 
  • Cancellations received after the 14-day cancellation period and later than 28 days before the start date of the course will not be eligible for a refund and the full fee will be charged. 
  • Notice of the request to cancel must be received in writing via email to 
  • This will constitute the ONLY acceptable proof of cancellation. If Client is unable to produce such a documentation, Client will be liable for the full registration fee for the course or programme in question.

If you are not acting as a Consumer:

  • Any cancellation received 28 days or more before the Start date of the course or programme will be charged a 10% administration fee. 
  • Any cancellations received less than 28 days before the Start date of the course or programme, the full fee will be charged. 
  • Notice of the request to cancel must be received in writing via email to . 
  • This will constitute the ONLY acceptable proof of cancellation. If Client is unable to produce such a documentation, Client will be liable for the full registration fee for the course or programme in question.
  • Substitution of delegates may be named at any time up until the start of the short courses The Manager’s Capsule and Leading without Lines with no charge.
  • Substitution of delegates may be named at any time up until 14 days prior start of The Leadership Vaccine with no charge.  If less than 14 days notice of a substitution is given a 10% fee will apply.   Note that all such substitutions will still need to go through any application process.  

7. Access to the online learning platform and online webinars

  • Once registered for one of our courses or programmes, an account will be created for each delegate on the online learning platform which is hosted on the Thinkific platform (
  • The account password is for the delegate alone and must not be distributed throughout their organisation or to personal contacts. Course documentation and online training material is for delegate’s own use and not to be distributed.
  • If delegate prints or downloads any of the materials provided, only one copy may exist at any time, which is for delegate’s own use, and may not be distributed to others or uploaded onto social media or file sharing sites.
  • You may not extract (or attempt to extract) text, images or any other content from the course material for any use whatsoever.
  • The Website Terms & Conditions apply to the use of the online platform, these are available from the Homepage menu (
  • Webinars are hosted using the Zoom system (  In order to access webinars, participants will be sent invitations including a link to register for them to register for the webinar.
  • One to one strategy meetings will be held via Zoom meetings. 

8. Cancellation or Alteration by Etheo Limited

Etheo Limited reserves the right to change the content and timing of the programme, the speakers, the date and venue due to reasons beyond their control. In the unlikely event that the course is cancelled, Etheo Limited will refund the registration fee and disclaim any further liability.

9. Venues

Etheo Limited will confirm the venue for each in person workshop or masterclass with at least one month’s notice.

10. Confidentiality

  • Both during and after the provision of the Services, both parties shall keep confidential any information of the other party that is obtained in connection with the provision of the Services and that is clearly designated as 'confidential' or that is by its nature clearly confidential. Neither party shall use such information except in connection with the Services nor divulge it to any third party without the prior written permission of the other party.
  •  The provisions of this clause 10 shall not apply to any information disclosed by a party ("Disclosing Party") that:

A. is in, or comes into, the public domain (except as a result of a breach of these Terms and Conditions);  

B. was already in the possession of the Disclosing Party at the time of its receipt from the other party;            

C. is received by the Disclosing Party from a third party who was not under a legal obligation of confidentiality with respect to it;               

D. is required by law to be disclosed by the Disclosing Party.

  • The Registration Form shall be treated as confidential information for the purposes of this clause 10.

11. Data Protection and Privacy

Etheo Limited is committed to protecting and respecting Client’s and other users’ privacy and to acting in compliance with GDPR (the General Data Protection Regulation (EU) 2016/ 679) and any applicable enacting, successor or amending legislation. We strongly urge all delegates and applicants to read our Privacy Policy (at as it will help applicants and delegates understand how we collect, use, store and otherwise process their personal data and other information and details the systems and platforms that we use. 

12. Sub-contractors

  • Etheo Limited shall be entitled, in its absolute discretion, to appoint sub-contractors to provide all or part of the Services.
  • All such subcontractors are selected on the basis of expertise and experience and are all subject to written terms including but not limited to confidentiality and data protection.

13. Term and termination

  • The Contract will commence on the date that Etheo Limited receives the completed Registration Form from the Client and shall continue in full force and effect until the Services have been completed.
  • Clauses 2, 10, 11, and 14 shall survive expiry or termination of this Agreement howsoever caused and shall remain thereafter in full force and effect after termination.


14. Indemnification

Etheo Limited will not be liable for any indirect or consequential loss, loss of business, profit, revenue, data or goodwill, nor for lost or wasted time of the Client.

15. Force majeure

            Etheo Limited has no liability to the Client if Etheo Limited is unable to provide all or a part of the Services in accordance with the Registration Form or otherwise as a result of circumstances beyond Etheo Limited's reasonable control, including without limitation, war, strike, lockout, industrial disputes, riot, civil commotion, acts of Government, fire, blockade, accident, natural catastrophe, pandemic, disaster.

16. Waiver

            No delay, neglect or forbearance by either party in enforcing any provision of the Registration Form or these Terms shall be deemed to be a waiver or in any way prejudice any rights of that party.

17. Rights of third parties

            Nothing in these Terms and Conditions or the Registration Form confers or purports to confer on any third party any right to enforce any of the Registration Form or these Terms.

18. Governing law and jurisdiction

These Terms and the Registration Form shall be governed by and construed in accordance with the laws of Country of England.  The place of performance of the contract will be as specified in the Registration Form.

19. Entire agreement

  • These Terms together with the Registration Form constitute the entire agreement between Etheo Limited and the Client in relation to the Services, and supersede all earlier communications. Each party acknowledges that it has not relied on any commitment, representation or warranty in entering into the Contract, other than those expressly set out in the Contract. No amendment or other variation to these Terms requested by the Client will be effective unless it is in writing, is dated and is signed by a duly authorised representative of Etheo Limited and the Client.
  • If there is any conflict between these Terms and the Registration Form, these Terms will prevail.

20. Notices

Any notice permitted or required under these Terms will be given in writing and shall be effectively served if delivered by hand or sent by first-class or airmail post to Etheo Limited at its usual address and, in the case of the Client, to the last known or usual address. Any notice personally delivered shall be deemed to have been received at the time of delivery. Any notice sent by post shall be deemed to have been delivered three Business Days after posting in the case of inter-UK communications, or five Business Days otherwise.

In cases where the Registration Form specifies nominated representatives of the parties, all notices shall be addressed to such representatives.
